Our client is a major battery and energy storage manufacturer with expanding operations across Australia, supporting utility-scale energy storage projects, commercial and industrial energy users, and integrated clean energy systems. The business is in a sustained growth phase, underpinned by active M&A, project development, capital deployment, and strategic partnerships. Legal capability is a critical enabler of this growth, supporting transaction execution, project delivery, and risk allocation across complex, capital-intensive assets. They are seeking a Senior Legal Counsel – M&A, Projects & Transactions to act as a lead legal advisor on acquisitions, joint ventures, infrastructure-style projects, and strategic commercial transactions. This is a deal-driven role, embedded with the commercial and project teams, focused on executing transactions rather than governance or company secretarial matters. The Role Reporting into senior legal leadership, you will take primary responsibility for supporting M&A, joint ventures, project development and delivery, and other strategic transactions across the business. You will work closely with executives, commercial leaders, project directors, and external advisers to structure, negotiate, and execute transactions across the full lifecycle — from early-stage structuring and due diligence through to signing, completion, and post-completion integration. The role suits a lawyer who enjoys being close to the deal, managing competing workstreams, and delivering commercially robust outcomes in complex, time-critical environments. Key Responsibilities Lead legal support on M&A transactions, including acquisitions, divestments, minority investments, and strategic investments Support the structuring and negotiation of joint ventures, partnerships, and consortium arrangements Advise on energy storage and infrastructure-style projects, including project development, delivery models, risk allocation, and interface with project finance documentation Draft and negotiate transaction documents including SPAs, SSAs, JV agreements, shareholders’ agreements, investment agreements, and ancillary documentation Lead and manage legal due diligence processes across acquisitions and major projects Support commercial negotiations for major project contracts including EPC, EPCM, long-term supply, offtake, and strategic framework agreements Advise on transaction structuring, risk allocation, conditions precedent, completion mechanics, and post-completion obligations Work closely with commercial and finance teams on transaction execution, timelines, and stakeholder management Manage external counsel across M&A, projects, and specialist matters, ensuring cost-effective and outcome-focused advice Support integration and post-transaction implementation from a legal and commercial perspective Requirements Australian-qualified lawyer with an LLB or JD Typically 5–8 years PQE, gained in a leading law firm or in-house transactional role Strong experience in M&A, projects, or complex commercial transactions Exposure to energy, infrastructure, manufacturing, resources, or clean technology sectors highly regarded Proven capability drafting and negotiating acquisition, JV, and project documentation Commercially astute, with a pragmatic approach to risk and deal execution Comfortable operating in fast-paced, growth-oriented environments with senior stakeholders Experience coordinating multidisciplinary transaction teams and external advisers This role will appeal to lawyers who want to move beyond advisory support and take ownership of transactions within a commercially ambitious energy and infrastructure platform.
