Description About the role This role partners closely with investment teams to structure compliant, risk-aligned transactions and resolve complex commercial and legal issues. You will help protect Housing Australia’s position throughout the deal lifecycle. The Director, TSE (Legal) leads the drafting and review of term sheets and funding agreements, supports negotiations with counterparties and advisers, and ensures all financing, security and project documentation is accurate, consistent and aligned with Housing Australia’s mandate. You will manage multiple transactions independently, coordinate with external providers (including external legal advisers), and provide leadership and guidance to junior team members. Key responsibilities Lead transaction structuring and advisory , partnering with investment teams to deliver commercially sound, risk-aligned outcomes Oversee documentation strategy and quality , ensuring all transaction materials are accurate, consistent and aligned with approvals and policy frameworks Drive risk management , identifying, assessing and mitigating legal, commercial and structural risks in line with organisational risk appetite Orchestrate transaction delivery and team contribution , coordinating stakeholders, optimising processes and supporting a high-performance, governance-focused team culture Skills And Experiences Skills and experience Banking & finance expertise from private practice and/or in-house environments, with extensive experience structuring and negotiating complex debt transactions Senior commercial advisory capability , providing independent, strategic advice on transaction structuring that balances commercial outcomes and risk Advanced documentation and technical proficiency , including drafting and negotiating funding, security and intercreditor documentation across diverse financing structures Risk leadership , with a proven track record identifying, assessing and mitigating legal, commercial and structural risks in complex transactions Stakeholder management and delivery excellence , partnering with investment teams, influencing sophisticated counterparties and managing multiple transactions in fast-paced environments while maintaining high quality standards We offer flexible working arrangements, a supportive team environment, and the opportunity to learn and grow, while also making a difference in a purpose-led organisation.
