Description The Company Secretary plays a vital role in ensuring the efficient functioning of the company's governance and compliance with legal and regulatory requirements. As the Company Secretary, you will be responsible for a wide range of administrative, legal, and compliance tasks. The main tasks and responsibilities for this position include: Managing board meetings, including preparing agendas, taking minutes, and ensuring that all statutory requirements are met Ensuring compliance with corporate governance regulations and best practices Advising the board on governance matters and providing support to directors on their duties and responsibilities Maintaining statutory books, including registers of members, directors, and secretaries Filing annual returns and other statutory documents with regulatory authorities Providing guidance on company law, listing rules, and other relevant regulations Coordinating with external legal advisors as necessary Handling shareholder communications and managing share-related matters Supporting the company's risk management processes Assisting in the organization of general meetings and other shareholder events Keeping abreast of changes in legislation that may impact the company's operations The ideal candidate for this position should have strong organizational skills, excellent attention to detail, a good understanding of corporate law and governance principles, and the ability to work effectively with senior executives and board members. Skills And Experiences Our ideal candidate will be proactive and demonstrate outstanding communication skills, organisation skills and have strengths in building and maintaining stakeholder relationships will be essential in collaborating with the Board and Executive Team, while exercising a high level of integrity and confidentiality. Your application will be assessed against the below vital competencies: A well-developed understanding of best practice governance and compliance requirements to support the Chair and Board to fulfil their statutory obligations. Formal qualifications in governance from the Governance Institute of Australia and/or Australian Institute of Company Directors, or qualifications in law, or business will be highly regarded. Significant experience in managing the Board or company secretariat function of an organisation. Sound financial literacy, and an understanding of the role of Boards in audit/internal controls, risk management and strategic formulation. Industry and/or not-for-profit knowledge is desirable.
