The Role We are looking for an accomplished Senior Legal Counsel to join our Investments Team in Sydney. As Senior Legal Counsel – Investments, you’ll play a pivotal role within the Investments Team, providing expert legal advice and strategic support to NGS Super. Your focus will be on ensuring the effective management of the Fund’s investment portfolio and enabling the successful execution of its investment strategy. What you’ll do Provide legal advice and strategic guidance on matters including regulatory and compliance matters, drafting and negotiating or renegotiating investment agreements and side letters. Assist in managing investment related legal risks relating to the Fund while ensuring compliance with the Fund’s governance framework. Advise on commercial arrangements (including compliance with policies, procedures and frameworks) that support the Investment Team. Review, draft and negotiate investment management agreements, contracts and other legal documentation as they relate to the investment functions. Advise on the legal structures and participate in discussions on the tax structures of new and existing investments. Maintain an awareness of new laws and Government policies, including prudential standards. Conduct research, reporting and provide advice on regulatory change and case law impacting the Fund. Contribute to the drafting of Board, Committee and Executive papers and other material as required. About you A dedicated Legal professional with a background in Superannuation or Financial Servies law (specifically in investments), you will bring the following key skills and attributes: A current unrestricted practicing certificate and 5 years post admission experience gained either in a top-tier / mid-tier law firm or in-house, with direct experience advising on institutional investment transactions across a range of asset classes and deal structures. Strong technical understanding of investment related documentation and structures, including direct equity investments, fund-of-funds, mandates, joint ventures and offshore investment vehicles. Demonstrated capability to lead and manage negotiations to support investment decisions and execution, working closely with internal investment teams and external managers/advisers. A growth mindset and committed to continuous professional development. Highly developed communication and stakeholder engagement skills with the ability to influence and internal stakeholders. Leads through conduct, modelling the team’s culture, values and expectations in daily practice. The ideal candidate will be proactive with strong legal analytical skills, have the ability to navigate complex investment structures within a superannuation fund environment. You will be effective at managing multiple matters at once while maintaining strong communication and stakeholder management skills.
