Description Clyde & Co is the world's pre-eminent insurance and reinsurance law firm. We currently have an exciting opportunity for a corporate lawyer with at least 5 years' experience to join our Corporate Insurance group and work on transactional and commercial matters. Our corporate insurance M&A team works on significant cross border transactions for (re)insurers, brokers and managing general agencies, traditional share/business sales, Lloyd's market deals, portfolio transfer transactions, reinsurance transactions, renewal rights deals and deals relating to Insurance Linked Securities. As advisers to warranty & indemnity insurers, we also assist underwriters to assess transaction risks in respect of deals across all sectors of the economy. You will also have the opportunity to work closely with our global corporate insurance team which operates across the UK, Europe, Middle East and Asia and with a number of US law firms. The successful candidate will be involved in the following work: Drafting and negotiating key transaction documents and providing advice on areas of legal risk for clients. Project managing transactions to ensure that key deadlines are met, including working closely with other legal teams across the firm to deliver an integrated service to our clients as well as working closely with other advisers on transactions. Managing due diligence processes for insurance transactions. Reviewing diligence and disclosure processes for warranty & indemnity insurance underwriting mandates and drafting underwriting questions and reports. Working with our corporate insurance teams across the world and US counsel on transactions and regulatory approval processes. Advising clients on corporate governance, regulatory and compliance issues. Managing and building external client relationships, including assisting with business development activities for key existing clients and new clients; and Mentoring junior associates in the team and assisting with providing training to junior associates both in the team and across the firm. Key Skills & Experience The key requirement of this role is that you have solid and consistent corporate transactional experience, gained from private practice. A good understanding of the regulatory and compliance environment in which the insurance industry operates would be helpful. You should have a genuine desire to build on and expand your corporate skillset into dealing with the corporate matters that arise in transactions involving the regulated insurance sector. You will need to demonstrate relevant experience, strong academics, be self-driven, have excellent verbal and written communication and time management skills, and the ability to manage competing priorities effectively.
