We are currently looking for a Senior Associate or Special Counsel to join our corporate team in Brisbane. The Role We are currently looking for a Senior Associate or Special Counsel to join our corporate team in Brisbane. This position will work closely with experienced and respected Partners who specialise in: private M&A transactions (including for private equity clients and financial sponsors); drafting and negotiation of shareholders agreements, joint venture arrangements and other general commercial contracts; restructures; and general corporate advisory. Requirements To be successful in this role, you will need to: Have solid experience and exposure to private M&A transactions (preferably with a working understanding of considerations relevant to private equity and financial sponsor clients) with a mid-market focus preferably, through experience gained in mid to top-tier firms; Have solid experience with drafting and negotiating transaction documents, including share sale agreements, asset sale agreements, shareholders agreements; Have solid experience with leading due diligence processes, including co-ordinating various due diligence workstreams and preparing legal due diligence reports; Possess a willingness to have a hands-on approach as a client-focused practitioner, with great relationship-building and communication skills; Possess a willingness and ability to understand clients' commercial needs and objectives and provide solutions to achieve these; Provide sound, pragmatic and innovative legal advice to the firm's corporate clients; Good contract drafting skills, legal analysis and problem solving skills to varied situations; Have excellent attention to detail, analytical skills which will be backed up by strong academics; and A thirst to develop as this is a role that offers genuine career development.
