The Senior Counsel, Corporate will partner with CSL’s corporate functions – including Tax, Finance and Treasury and enabling function leaders to ensure activities are legally positioned for the best outcomes for CSL whilst mitigating risk and aligning with regulatory requirements. Reporting to the Company Secretary and Head, Corporate Governance you will provide legal expertise within a corporate environment, offering guidance on a wide range of corporate matters including ASX and Corporations Act compliance, corporate mergers and acquisitions, regulatory compliance, and head office contractual agreements. The role demands a deep understanding of corporate law and the ability to navigate complex legal and business issues and typically involves regular interaction with senior management and various stakeholders across the organization. Your Responsibilities Legal Advisory: Provide expert legal advice on strategic head office related business initiatives including: Corporate Transactions – Tax, Finance, Treasury, Capital Management Transactions; Corporate Regulatory Compliance and Investigations; Risk and Compliance (including Speak Up matters); Advice on corporate communications, submissions etc (not BU related); Corporate Property Transactions ; and Executive Remuneration, Share Plans, Compliance (reporting) Review and approve Investor Materials, scripts, annual report and other corporate communications Compliance: Ensure adherence to corporate laws, regulations, and internal policies to mitigate legal risks and enhance the company's compliance framework Contract Management: Draft, review, and negotiate head office related contracts and agreements to safeguard the company’s interests Risk Management: Work with the risk and compliance team to Identify and assess potential legal risks and provide proactive solutions to mitigate them Dispute Resolution: Manage and resolve corporate disputes, including litigation and arbitration, by working closely with external legal counsel when necessary Internal Collaboration: Work collaboratively with CSL stakeholders including finance, HR, and operations, to align legal strategies with business objectives. Training and Development: Conduct training sessions for employees on legal and compliance matters to ensure awareness and understanding of relevant laws and company policies. Your Qualifications, Skills & Experience Education: Juris Doctor (JD) or equivalent law degree from an accredited law school Current Practicing Certificate in Victoria Experience: Minimum of 5-7 years of experience in corporate law, preferably within a corporate legal department or a reputable law firm. Expertise: Strong knowledge of corporate law, including corporate transactions, corporate governance, and regulatory compliance Analytical Skills: Excellent analytical and problem-solving abilities with a keen attention to detail Communication: Superior verbal and written communication skills, with the ability to convey complex legal concepts clearly and effectively Negotiation: Proven negotiation skills with the ability to manage and conclude sensitive and strategic agreements. Interpersonal Skills: Strong interpersonal skills with the ability to build and maintain relationships with internal and external stakeholders.
